本文主要分为四个部分，第一部份为诉讼契约概述，对诉讼契约与契约等概念进行比较和分析，进而界定了诉讼契约的性质，为后来的论述奠定基础；第二部份为诉讼契约存在的理论基础、现实基础及价值分析，论述的着眼点为诉讼契约存在的制度环境和应然性问题和价值功用；第三部份对中外诉讼契约的现状进行了比较并从中有所启示；第四部份是本文的重点，主要讨论的是我国诉讼契约制度的存在的问题，并提若干建构完善措施，如确立诉讼契约理论体系和诉讼原则等，最后，对诉讼契约提出了些许规制措施。

本文将在海上保险代位求偿权制度的基础上，从诉讼角度展开较为系统的研究；在我国现有的海上保险代位求偿诉讼、海事诉讼以及民事诉讼的法律规定和法律理论的基础上，参考国外相关的法律理论，对海上保险代位求偿诉讼的法律问题进行较为系统的研究；不仅从理论的角度，还要参考我国司法实践中的相关案例和通常做法，使得对海上保险代位求偿诉讼的法律问题的研究更贴近实务，更具有实际操作性；运用归纳、推理的逻辑方法，采用利益比较等具体方法，对海上保险代位求偿诉讼的法律问题进行了较为全面的研究。

Second, the paper explains the problems of the system of lawsuit time limit in judicial practice, specifying that the system of lawsuit time limit cannot get the attention it should be paid in judicial practice, the regulations of extending lawsuit time limit cannot be carried out severely, there are no powerful monitoring and penalties of violation of lawsuit time limit, the blank of lawsuit time limit bring about the delay of cases, and that the principle of presumption of innocence in the criminal law cannot be carried out thoroughly.

第三，文章对诉讼时限制度在理论研究上存在的缺陷进行了讨论，指出了对这一重要制度无人研究的问题，并对立法上对这一重要制度没能引起重视的问题进行了讨论，指出：诉讼时限制度不仅是一个立法技术问题，而且是一个实体问题。第四，文章从社会环境的角度对现行法律关于诉讼时限的规定执行得不好的原因进行了分析，指出社会大环境对诉讼时限的贯彻执行有重要的制约作用。
