The purpose of my research is to present a framework of stock broking business, it is based on the actual situation of China's stock market, and refers to the basic marketing theories, use a large maunder of marketing data. I hope this study has value at promoting the operation and managing level of securities organization, especial for those who want upgrade its marketing ability.

本人选取证券经纪业务的营销作为研究对象，目的就是根据中国证券经营机构的实际情况，采用实证的研究方法，引用大量数据，并结合市场营销中的基本理论体系和框架，提出了证券经营机构开展营销活动的整体构想，希望能对证券经营机构在经纪业务中经营和管理水平，尤其是对证券经营机构营销能力的提高有一定的指导作用。

In order to farther promote and regulate Agricultural industrialization, some suggestions have been stated as follows:(1)Agricultural industrialization should develop rapidly and steadily by regulating and strengthening benefit mechanism;(2) the act of cooperatives and stockholder cooperation firms should be performed;(3)the base and infrastructure for Agricultural industrialization should supported;(4) the technology-intensive and famous brand products should develop superlatively.

为了进一步推进和规范农业产业化经营的发展，提出以下政策建议：一是利用多种改制方式，规范和强化利益机制，促进农业产业化经营快速健康发展；二是尽快出台合作社法和股份合作企业法，以规范和促进农业产业化经营；三是加强对基地和基础设施建设的扶持力度，为农业产业化经营创造条件；四是创品牌，加大产品科技含量，提高农业产业化经营的水平。

Taking business operation history of SDIC as a thread, this paper studies the business models adopted by the company in each of its development stage from the perspectives of operation history and evolvement of external business environment.

本文试图以国投公司的经营历程为主线，从国投公司的经营历史、经营环境的演变中，对各个阶段的经营模式进行研究，探究其经营成功的原因和存在的问题，并结合国内外投资控股公司的成功经验，设计其今后的经营模式。全文共分五章。

There exists the principal-agent relationship between stockholders and managers,which takes on different patterns under different conditions:under the condition of symmetric information,it displays as order-subordinate rela- tion ship,which need not incite managers while stockholders can pay managers regular fee by contract;under the con- dition of dissymmetric information,it displays as a fellowship,which need incite managers because managers may per- form according to the payment.

股东和经营管理者之间存在委托代理关系，这种委托代理关系在不同情况下具有不同的表现形式：在信息对称条件下，表现为命令和服从关系，此时无需对经营管理者进行激励，股东以&强制合同&的形式支付给经营管理者确定的报酬即可；在信息非对称条件下，委托代理关系表现为合伙关系，对经营管理者的激励相当重要，因为经营管理者会根据激励强度来付出劳动。
