This Agreement and its enforcement shall be governed by and construed in accordance with the law of the Special Administrative Region of Macau and its provisions shall be continuous; shall cover individually and collectively all accounts which the Client may open or re-open with the Dealer; and shall insure to the benefit of , and bind the Dealer, the Dealer's successors and assigns, whether by merger, consolidation or otherwise, as well as the heirs, executors, administrators, legatees, successors, personal representatives and assigns of the Client and the Client hereby submits to the jurisdiction of the court of Macau.

This agreement and its enforcement shall be governed by the Laws of Hong Kong and its provisions shall be continuous; shall cover individually and collectively all accounts which the Client may open or re-open with the Company, and shall ensure to the benefit of, and bind the Company, the Company's successors and assigns, whether by merger, consolidation or otherwise, as well as the heirs, executors, administrators, legatees, successors, personal representatives and assigns of the Client and the Client hereby submits to the exclusive jurisdiction of the courts of Hong Kong.

本协议及其执行须受香港法例规限，其规定持续有效，范围涵盖客户个别或全部在公司开设或重新开设之所有帐户，对公司、其继承人及承让人（不论为合并、综合或其他方面之承让人）、客户之继承人、遗嘱执行人、遗产管理人、遗产继承人、继任人、个人代表及承让人均有效及有约束力，而客户亦须接受香港法院之独有管辖权，如本协议被相关法院或机构认定为无效，客户与公司一致同意：如因本协议无效而形成的客户与公司之间的财产权益纠纷应由公司法定注册地所在法院管辖。

The Dealer shall have the right whenever in the Dealer's sole discretion, the Dealer shall consider it necessary for the protection of the Dealer, because of margin requirements or otherwise, or, in the event that a petition in bankruptcy, or a petition for the appointment of a receiver, is filed by or against the Client or, when an attachment is levied against the account of the Client with the Dealer, or, in the event of the death or judicial declaration of incompetence of the Client, to: satisfy any obligation the Client may have to the Dealer (either directly or by way of guaranty or suretyship) out of any property belonging to the Client in custody or control by the Dealer, sell any or all positions long in the Client's account, buy any or all positions which may be short in such account, and, cancel any outstanding orders in order to close the account or accounts of the Client, all without demand for margin or additional margin, notice to the Client, the Client's heirs, executors, administrators, legatees, personal, representatives or assigns, of sale or purchase or other notice or advertisement and whether or not the ownership interest shall be solely the Client's or jointly with others.

当交易商按其全权酌情决定权认为基於按金需求或其他原因而有必要保障交易商，或客户提出或被提出破产或委任破产管理人之呈请时，或客户在交易商之账户被扣押时，或客户死亡或法庭宣布无行事能力时，则交易商有权：以交易商为客户保管或控制之任何属於客户之财产偿还客户直接或以保证或担保形式所欠交易商之任何负债，沽售任何或全部客户账户内之买空位置，买入任何或全部有关账户之沽空位置，及取消任何未执行之交易指示以结束客户之账户。以上行动均毋须要求按金或要求增加按金，亦毋须向客户，客户之继承人，遗嘱执行人，遗产管理人，遗产继承人，个人代表或承让人发出买卖通知，其他通知或公布，不论客户是否独自拥有或共同拥有有关业权。
