The Sellers, in accordance with the Buyers' claim shall be responsible for the immediate elimination of the defect, complete or partial replacement of the commodity or shall devaluate the commodity according to the state of defect,.

卖方在接到买方的索赔后，有责任立即解决的质量问题、或地替换货物或货物损坏的程度折价；卖方在收到买方的上述索赔后月内未能答复，则视为索赔已为卖方所。

If Seller has not been enjoined from selling such goods to Buyer, Seller may (at Seller's sole election ),at Buyer's request, supply such goods to Buyer,in which event Buyer shall be deemed to extend to Seller the same patent indemnity hereinabove stated.

如果卖方还没有被禁止向买方销售该等物品，应买方请求，卖方可以向买方供应该等物品，在此情况下，买方应被视为向卖方做出与本合同上文所述相同的专利补偿保证。

Seller agrees to indemnify on demand buying agent and the affiliates of buying agent (collectively,the "Indemnitees",which term shall also mean the directors ,officers,employees and agents of buying agent and such affiliates) and hold the indemnitees harmless from all liabilities,claims,suits,losses,expenses,penalties,damages(including consequential damages),fees(including attorneys' fees),interest and actions which may be made or brought against or suffered or incurred by any indemnitee arising from or in any way related to a breach by seller of any of the agreements,covenants,warranties,representations,guarantees,certifications,and obligations made or undertaken by seller in these terms and conditions.

卖方同意在要求上赔偿买代理人和买代理人(集体地，" Indemnitees"，期限也将意谓指导者官员，职员和买代理人和如此的加入者的代理人)的加入者而且从所有的责任举行无害处的 indemnitees，宣称，诉讼，损失，费用，处罚，损害(包括作为结果发生的损害)，费用，兴趣和可能被赚或带来的行动反对或遭受或被任何 indemnitee 出现招致从或被卖方以任何方式讲到一个裂口任何那协议，契约，担保，表现，保证，证明和义务制造或被这些期限和情况的卖方接手。

The buyer must, subject to the provisions of A3, pay all costs relating to the goods from the time they have been delivered in accordance with A4; and all costs and charges relating to the goods whilst in transit until their arrival at the port of destination, unless such costs and charges were for the seller's account under the contract of carriage; and unloading costs including lighterage and wharfage charges, unless such costs and charges were for the seller's account under the contract of carriage; and all additional costs incurred if he fails to give notice in accordance with B7, for the goods from the agreed date or the expiry date of the period fixed for shipment, provided, however, that the goods have been duly appropriated to the contract, that is to say, clearly set aside or otherwise identified as the contract goods; and where applicable 7 , all duties, taxes and other charges as well as die costs of carrying out customs formalities payable upon import of the goods and, where necessary, for their transit through any country less included within the cost of the contract of carriage.

除A3a规定外，买方必须支付自按照A4规定交货时起的一切费用；及货物在运输途中直至到达目的港为止的一切费用，除非这些费用根据运输合同应由卖方支付；及包括驳运费和码头费在内的卸货费，除非这些费用根据运输合同应由卖方支付；及如买方未按照B7规定给予卖方通知，则自约定的装运日期或装运期限届满之日起，货物所发生的一切额外费用，但以该项货物已正式划归合同项下，即清楚地划出或以其他方式确定为合同项下之货物为限；及在需要办理海关手续时，货物进口应交纳的一切关税、税款和其他费用，及办理海关手续的费用，以及需要时从他国过境的费用，除非这些费用已包括在运输合同中。

E. In the case of the seller's failure to delivery and ship on time because of the buyer's confirmation and correction after the receipt as stipulated in the b,d of the sixteenth clause, the seller shall not be held responsible for claim and reserve the right to loge claim for any extra money.

买方收到卖方本合同第十六条b。 d之通知后未能及时予以回复确认而造成卖方不能及时装船交货，卖方不承担责任，并保留追索因此而产生的额外费用支出。

D..In case the seller's late execution of the b,d,f stipulations of the sixteenth clause, the buyer shall be able to loge claim for losses with exception of the enlarged loss for his late effort to minimize the possible loss.e.

因卖方没有及时履行本合同第十六条第b ，d ，f 三项时，卖方承担由此产生的一切损失责任。买方应尽全力采取措施避免损失的扩大，否则卖方有权拒绝对扩大部分的损失进行赔偿
