There are six chapters altogether. Chapter One mainly introduces the basic theory of Executive Stock Options. Chapter Two sets emphasis on the related system construction, and points out the main barriers of practice in China, and also provides some feasible suggestions. Chapter Three, Chapter Four and Chapter Five are the main body of this paper, and they discuss the recognition, measurement and disclosure of accounting for stock option respectively, which are based on the new development in the world. Based on the situation of our country, Chapter Six construes the actuality of accounting in China, and points out some useful suggestions.

全文共分为六章，第一章主要介绍经理股票期权制度的基本理论，分析其优势和弊端；第二章从制度方面入手，结合我国国情对我国实施经理股票期权制度进行探讨，研究实施障碍并提出政策建议；第三、四、五章是本文的主体部分，在结合国际最新研究成果的基础上，从确认、计量和披露三个方面探讨经理股票期权的各会计处理环节；最后第六章则立足国情，调查我国经理股票期权会计处理的现状，并提出我国目前适宜的会计处理方法建议。

There are many serious misleading in how to apply the principle of "fraud exception", whereas, it is necessary to make a legal research on the principle of "fraud exception" in light of former researches. The article consists of two parts. In the first part, the author put emphasis on the principle of abstract independence, the definition, the establishment and development of the principle of fraud exception, the analysis of the fraud, the theory, the prerequisite and the procedure of apply the principle of "fraud exception" in order to establish the general principle and necessary procedure. In the second part, the author analysis the existing backward conditions oflegislation and judicial practice in China, and courts" attitude to the judicial remedy for the principle of " fraud exception", further, the author puts forward some suggestions on how to make the legislation on the principle of "fraud exception" perfect, and how to apply the procedure of judicial remedy for the principle of "fraud exception". Lastly, the author hopes that these suggestions could benefit to the judicial practice and the future legislation on the principle of "fraud exception.

我国在加入世界贸易组织后，按照国际惯例和国际公约处理国际贸易中的纠纷己成为一种必然趋势，鉴于我国法院对如何准确适用信用证欺诈例外原则存在着严重误区，使得在先前学者研究的基础上再一次研究欺诈例外原则很有必要，本文分两个部分，第一部分对信用证独立抽象原则、信用证欺诈例外原则的定义、确立与发展、对例外原则下欺诈的分析、理论基础、适用条件以及程序等六方面展开论述，从而确立信用证欺诈例外原则的一般原则和必要的程序：第二部分主要分析我国司法实践中信用证欺诈例外原则司法救济的立法以及司法现状，及法院对欺诈例外原则的态度，从而对如何完善我国法院欺诈例外原则的法律依据以及如何正确适用欺诈例外原则的司法救济程序提出一些构思，希望为欺诈例外原则在我国的司法实践以及为以后的相应立法提供有益的参考。

The author explicates some developing aspects in the field of IC industry as suggested areas of future work. The original points of this dissertation are as following: 1. In this dissertation, we got the quality learning curve of China's IC manufacturers by regression. On the base of questionnaire, we later explained the reason of the reverse S type quality learning curve and the tendency of change in quality learning curve. 2. The evolution of technical unit of China's IC industry is calculated in this dissertation. We also explained the reason of technical unit splitting in the way of economic and technology. 3. In this dissertation, we described the environment difference in capital, technology transfer, human resource and market in USA, Japan, Korea, Taiwan and China, and gave some suggestions on the government's role in the development of China's IC industry.. 4. In this dissertation, we established an SD model of China's IC industry, and by using this model, we got some suggestions for future development in China's IC industry.

本文的主要创新之处在于：（1）用回归分析方法实证研究了我国集成电路企业的质量学习曲线，并在调查分析的基础上，对反S型质量学习曲线的历史成因和未来走势进行了研究；（2）对世界及我国集成电路产业技术单元的变化趋势进行了定量研究，从经济和技术角度解释了当前集成电路产业技术单元细化的原因；（3）从资金、技术、人才、市场角度系统总结研究了发达国家在集成电路产业发展环境建设中的成功经验，并结合我国集成电路产业发展的实际情况，对我国集成电路产业发展的政府行为提出了一些建议；（4）建立了狭义集成电路产业、材料业、设备业发展的系统动态模型，并利用该模型对不同投资结构下我国集成电路产业系统未来的演变进行了模拟研究，这一研究结果可以为我国集成电路产业今后发展提供一定的决策依据。

This thesis first re-explain the application ofgovernmental accounting according to the subject postulates of the four basis postulates, and suggest that the viewpoint of differentiating accounting recording subject and reporting subject and makes some suggestions how to establish the reporting subject in the Chinese government .
